Exit Strategy: When to Sell an Under-Construction Property

Entry timing gets most of the attention in real estate investing, but exit timing is equally important. Selling at the wrong time can leave significant returns on the table. Here's our framework for timing the exit on an under-construction property.

    The three exit windows:

    1. Pre-possession exit (assignment): Selling before possession, by transferring your agreement to a new buyer. This is the earliest exit, typically 2–3 years after booking.

    2. At-possession exit: Selling immediately upon possession, when the property is complete and the OC is in place. This is the most common exit for investors.

    3. Post-possession exit: Holding for 1–3 years after possession, benefiting from the post-possession premium and rental income before selling.

    Pre-possession exit (assignment):

The advantage: you exit early, freeing up capital without waiting for possession. The appreciation from pre-launch to mid-construction can be 15–25%.

The disadvantage: the profit is classified as short-term capital gain (if held <24 months), taxed at your slab rate (up to 30%+). The builder may charge a transfer fee (₹100–500/sq ft). And the buyer pool is narrower — only investors will buy an under-construction property, not end-users.

    At-possession exit:

The advantage: the property is complete, the OC is in place, and the buyer pool expands to include end-users (who pay a premium for ready-to-move property). The appreciation from pre-launch to possession is typically 30–50%. If held >24 months, the gain is long-term (taxed at 12.5% without indexation).

The disadvantage: you wait the full construction period (3–5 years) before exiting.

    Post-possession exit:

The advantage: you benefit from the post-possession premium (end-users pay 10–15% more for a property with a track record of habitation) and rental income during the hold. The total return (appreciation + yield) can be the highest of the three.

The disadvantage: the appreciation velocity slows after possession. The aggressive construction-phase appreciation is over, and subsequent appreciation is moderate (8–12% annually).

    ROI comparison (₹2 Cr pre-launch entry, 5-year total horizon): - Pre-possession exit (year 3): 20% appreciation = ₹40 lakh gain. STCG tax (30%) = ₹12 lakh. Net = ₹28 lakh. Annualized ROI = ~9%. - At-possession exit (year 4): 40% appreciation = ₹80 lakh gain. LTCG tax (12.5%) = ₹10 lakh. Net = ₹70 lakh. Annualized ROI = ~17.5%. - Post-possession exit (year 5): 48% appreciation + 1 year yield (3%) = ₹96 lakh + ₹6 lakh = ₹1.02 Cr. LTCG tax = ₹12.75 lakh. Net = ₹89.25 lakh. Annualized ROI = ~18%.

Our framework: For most investors, the at-possession or post-possession exit maximizes after-tax returns. The pre-possession exit is only optimal when the appreciation is exceptional and the tax cost is acceptable. The key is to plan the exit before the entry — know your target exit window and structure the payment plan and holding period accordingly.
